These Terms of Service govern your use of Elgrith's website, products, and services. Please read them carefully before engaging with us. By using our services, you agree to these terms.
By accessing or using Elgrith's website, products, or services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services. These terms constitute the entire agreement between you and Elgrith Technologies regarding the use of our services.
Elgrith provides custom software development, web design, mobile app development, AI solutions, and custom CRM services. The specific scope, deliverables, timelines, and pricing for each project are defined in individual project agreements or statements of work (SOW) signed between Elgrith and the client.
Clients agree to: provide accurate and complete information required for project completion; review and provide timely feedback within agreed timeframes (typically 3-5 business days); make payments according to the agreed schedule; not use our services for any unlawful, harmful, or deceptive purpose; ensure they have the right to use any content, assets, or materials they provide to us.
Payment schedules are specified in individual project agreements. Typically, projects require an upfront deposit (40-50%) before work begins, with remaining payments tied to milestones or project completion. Late payments may incur interest charges of 1.5% per month. Elgrith reserves the right to pause work on projects with overdue invoices.
Upon receipt of full payment, clients receive full ownership of all custom-created code, designs, and deliverables produced specifically for their project. Elgrith retains the right to: use open-source components and third-party libraries subject to their respective licenses; display the work in our portfolio (unless otherwise agreed); retain our proprietary frameworks, tools, and methodologies.
Both parties agree to maintain the confidentiality of proprietary information shared during the project. This includes business processes, client data, trade secrets, and technical specifications. This obligation survives termination of the project for a period of two years. A separate NDA may be executed upon request.
Each project agreement specifies the number of revision rounds included. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Significant scope changes (adding new features or pages not in the original agreement) require a new estimate and written approval before work proceeds.
Elgrith warrants that services will be performed in a professional manner consistent with industry standards. We provide a 30-day bug-fix warranty after project delivery for issues directly related to our code. We do not warrant that our services will be error-free or uninterrupted. Third-party services and APIs are subject to their own terms and availability.
Elgrith's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific project in question. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption, even if advised of the possibility of such damages.
Either party may terminate a project agreement with 14 days written notice. Upon termination, the client is responsible for payment of all work completed to date. Elgrith will deliver all completed work upon receipt of final payment. Deposits are non-refundable after work has commenced unless Elgrith is unable to fulfill the agreed scope.
These Terms of Service are governed by the laws of India. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation, and if necessary, through arbitration in Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.
Elgrith reserves the right to modify these Terms of Service at any time. Updated terms will be posted on this page with a new effective date. Continued use of our services after changes constitutes acceptance of the updated terms. For significant changes, we may notify clients via email.
